  1. Introduction
    1. Welcome to Divvi Builder Camp. By registering for and participating in Divvi Builder Camp, you ("Participant" or "Participants," which includes individuals and/or teams) agree to be bound by these Terms and Conditions ("Terms"). Divvi Builder Camp is put on by Divvi which is a project of Valora, Inc. (the “Organizer”).
  2. Eligibility
    1. Divvi Builder Camp is open to individuals aged 18 years or older or teams composed of such individuals. 
    2. Employees, contractors, and affiliates of Divvi Builder Camp organizers and sponsors may participate and are eligible for incentives identical to other participants. 
    3. Participants must comply with all applicable laws and regulations.
  3. Registration
    1. Participants must register here. 
    2. The Organizer reserves the right to reject any registration in its sole discretion that does not meet the eligibility criteria or violates these Terms.
  4. Code of Conduct
    1. Participants agree to act with integrity, fairness, and respect towards other participants, protocols and other actors in web3. 
    2. Harassment, discrimination, and inappropriate behavior will not be tolerated and may result in disqualification. 
    3. Participants must ensure that all submissions comply with applicable laws and regulations.
    4.  Participants commit to abiding by all applicable intellectual property (IP) laws and ensuring that their submissions do not infringe on third-party rights. 
    5. Participants must not use or submit any content that is illegal, adult-themed, or otherwise inappropriate, including but not limited to hate speech, violent content, or content that violates community standards. 
    6. Any violation of these rules may result in immediate disqualification and potential reporting to relevant authorities.
  5. Project Requirements
    1. All submissions must be built on the then current Divvi Protocol available here. 
    2. Participants must 
      1. agree to these Terms and complete registration;
      2. whitelist a wallet to which rewards will be sent;
      3. join our Discord community;
      4. build a web or mobile app integrating Divvi and one or more of our featured backend protocols;
      5. grant the Organizer access to your relevant Github;
      6. depending on publishing media (web or app store) provide other information and/or access to Organizer.
    3. Projects must be built using Web3 technologies and align with the themes and challenges set forth by Divvi Builder Camp organizers. 
    4. Submissions must be the original work of participants created during Divvi Builder Camp, not infringe on third-party intellectual property rights and properly attribute open-source code used. 
    5. Submissions must include a functioning demo and a public repository for review.
  6. Incentives
    1. Divvi works to automatically reward builders who make a backend protocol’s chosen metric (their “Number Go Up” or “NGU”) go...well, up. By participating in this camp and following the terms set forth herein, your project is eligible for the following rewards: 50% of the total earnings generated by your submission to the backend protocol you chose to integrate (proof of impact,) distributed weekly until December 31, 2025 or until Camp funds run out.
  7. Intellectual Property Rights
    1. Participants retain ownership of their projects. However, by submitting a project, participants grant the Organizer a non-exclusive, worldwide, royalty-free license to use, distribute, and promote the submission for Divvi-related purposes.
  8. Disqualification and Termination
    1. The Organizers reserve the right to disqualify any participant who violates these Terms or engages in fraudulent, unlawful or unethical behavior. 
    2. If Divvi Builder Camp is canceled due to unforeseen circumstances, the organizers are not liable for any damages incurred by participants.
  9. Privacy and Data Protection
    1. By participating in Divvi Builder Camp, you agree that your personal information (such as name, email, and project details) may be collected, stored, and used for Divvi Builder Camp administration purposes. 
    2. The organizers will not sell or share personal data with third parties except as required for Divvi Builder Camp purposes, operations and/or publicity.
    3. The organizers comply with applicable privacy laws, including but not limited to the California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR). To that end, Participants have the right to: Request access to, correction of, or deletion of their personal data, Restrict or object to the processing of their personal data, Receive a copy of their personal data in a structured, machine-readable format where applicable, and Withdraw consent for data processing at any time, where consent is the legal basis for processing.
    4. Personal data will be stored only for the duration necessary for Divvi Builder Camp administration and compliance with legal requirements.
    5. The organizers implement appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction.
    6. Participants may exercise their data protection rights by contacting the organizers at [contact email].
  10. Limitation of Liability & Indemnity
    1. The organizers, sponsors, and affiliates shall not be liable for any damages, loss, or injury incurred as a result of participation in Divvi Builder Camp. Participants are responsible for securing their intellectual property and ensuring the safety of their data and digital assets.
    2. Participants agree to indemnify, defend, and hold harmless the organizers, sponsors, affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
      1. Any breach of these Terms by the Participant;
      2. Any claim that a Participant’s submission infringes or misappropriates any intellectual property rights of a third party;
      3. Any violation of applicable laws or regulations by the Participant;
      4. Any disputes between Participants or with third parties arising from participation in Divvi Builder Camp; and/or
      5. Any actions taken by the organizers to enforce these Terms.
  11. Amendments
    1. The organizers reserve the right to update these Terms at any time. Participants will be notified of such changes via Discord or email.
  12. Governing Law
    1. These Terms are governed by the laws of the state of California. Any disputes arising from Divvi Builder Camp shall be resolved in the courts located in the city and county of San Francisco.

By participating in Divvi Builder Camp, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.

DISCLAIMER: USE AT YOUR OWN (INFORMED) RISK! 

Hey there, intrepid user of Divvi! Before you dive in and wield Divvi for your brilliant purpose(s), let’s get a few things straight:

  1. Divvi is a Tool, You Decide How to Use It 🛠️
    Divvi is provided "as-is," without any guarantees, warranties, or promises of any kind —express, implied, or otherwise. You’re free to use Divvi as you see fit, but how you use it is entirely within your sole discretion. Whether you're automating your to-do list or launching a world-changing enterprise, you alone are responsible for making sure your use complies with all applicable laws, regulations, and best practices.

  2. This Tool is NOT a Licensed Financial, Banking, or Regulatory Product
    Just to be crystal clear:
    • Neither Divvi nor its author(s) provide legal, financial, investment, or tax advice.
    • Divvi is an incentive orchestration tool. It does not, and does not intend or pretend to facilitate banking, money transmission, investment advising, securities trading, or any other regulated activity.
    • Divvi does not come with a magic "compliance" button. If you're in a regulated industry (think finance, banking, insurance, securities, healthcare, national security, etc.) or the project in which you use Divvi engages in regulated activity, it’s on you to determine whether and how you can use this tool legally AND whether and  how those regulations apply to you. Divvi does not provide legal guidance, nor act as a liabilty shield. You are responsible for your actions.
  3. No Liability – Seriously, None. 🙅‍♂️
    The authors and distributors of Divvi, and Divvi itself, bear zero liability for anything that happens because of your use (or misuse) of Divvi. If your use leads to financial loss, regulatory headaches, cease-and-desist orders, intergalactic legal disputes, or just a really bad day—Divvi is not responsible at all.

  4. Indemnification: You Break It, You Bought It ⚖️
    By using Divvi, you agree to indemnify, defend, and hold harmless Divvi as well as its authors, contributors, and distributors (the “Divvi parties”) from any claims, liabilities, losses, damages, costs, and expenses (including legal fees) of any kind, nature or type that arise from and/or are related to your use of Divvi. Basically, if someone sues the Divvi parties because of something you did with this tool, you’re on the hook, not Divvi or the Divvi parties.

  5. No Guarantees, No Support, No Takebacks 🔥
    This tool is provided “as-is” with no guarantees of fitness for any purpose. Bugs? Maybe. Unexpected behavior? Could happen. Free tech support? Nope. If you find an issue, feel free to report it, but we make no promises about fixing it.
